These Terms of Service ("Terms") constitute a legally binding agreement between you (either as an individual or on behalf of an entity) and SimuWave Communications Platform ("SimuWave," "we," "us," or "our") concerning your access to and use of the SimuWave platform and related services (collectively, the "Services").
By accessing or using our Services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
You must be at least 18 years old and have the legal capacity to enter into contracts to use our Services. By using the Services, you represent and warrant that you meet these requirements. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You agree to pay all fees associated with your use of the Services, including but not limited to phone number rental fees, usage-based calling charges, and any applicable taxes. Pricing is available on our website and may be updated from time to time.
Payment for usage-based services is due as incurred. We may require prepayment or maintain a minimum balance for certain services. All fees are non-refundable unless otherwise specified in writing.
If payment is not received when due, we may suspend or terminate your access to the Services. We reserve the right to charge interest on overdue amounts at the lesser of 1.5% per month or the maximum rate permitted by law.
If you believe you have been incorrectly billed, you must notify us within 30 days of the charge. We will investigate and make appropriate adjustments if warranted.
Our Services are delivered in part through upstream telecommunications carriers, rate centers, and third-party providers whose pricing, tariffs, regulatory fees, surcharges, and rate decks are subject to change without notice and outside of our control. Examples include, without limitation, per-minute inbound and outbound rates (including toll-free, local, intrastate, interstate, and international), phone number (DID) recurring and setup fees, toll-free origination charges, E911 fees, USF/regulatory cost-recovery surcharges, CNAM dip fees, SMS/MMS messaging fees, and number-portability charges.
Accordingly, you acknowledge and agree that we may modify our published per-minute rates, per-number monthly recurring charges, setup fees, surcharges, and any other usage-based or recurring fees at any time, effective immediately upon posting to our website, dashboard, or pricing page, in order to reflect changes in our underlying carrier costs, regulatory obligations, or operating expenses. Such changes apply prospectively to usage incurred and recurring charges billed on or after the effective date and do not retroactively alter previously billed amounts. We will use commercially reasonable efforts to notify customers of material rate increases by email, in-app notice, or dashboard banner where practicable, but failure or delay in providing such notice does not invalidate the change or limit our right to apply the revised rates. Your continued use of the Services after a rate change constitutes acceptance of the revised rates. If you do not agree to a rate change, your sole and exclusive remedy is to discontinue use of the affected Services and terminate your account in accordance with these Terms.
The Services, including all software, designs, text, graphics, logos, and other content, are owned by SimuWave or our licensors and are protected by copyright, trademark, and other intellectual property laws.
You retain ownership of any content you upload to the Services, including call recordings, voicemail messages, and audio files. By uploading content, you grant us a license to use, store, and transmit that content as necessary to provide the Services.
If you have a white-label agreement, you are granted a limited license to use our platform under your own branding, subject to the terms of that agreement.
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our privacy practices as described in the Privacy Policy.
To protect the integrity of our network, our carrier relationships, and our customers, we reserve the right to monitor, inspect, log, record, and transcribe traffic transiting the Services, including but not limited to call detail records (CDRs), signaling metadata, network traffic patterns, call audio, voicemail, text messages, and fax communications. This monitoring may be performed in real time or retrospectively, by automated systems or by authorized personnel.
Monitoring is conducted solely for legitimate operational purposes, including:
These activities are performed as a service provider in the normal course of business and incident to the rendition of the Services, consistent with the service provider exception under 18 U.S.C. ยง 2511(2)(a)(i) and analogous provisions of state law.
You are responsible for providing all required notices and obtaining all required consents from your own users, employees, customers, and callers regarding the monitoring, recording, and transcription of communications, as required by federal, state, local, and foreign laws โ including but not limited to two-party (all-party) consent jurisdictions. You agree to indemnify SimuWave for any claim arising from your failure to provide such notice or obtain such consent.
Information collected through monitoring is retained only as long as necessary for the purposes described above or as required by law, and is handled in accordance with our Privacy Policy. We will not disclose the content of monitored communications except as necessary to fulfill the purposes in Section 9.2, to comply with law, or with your authorization.
The rights described in this Section are permissive, not obligatory. SimuWave undertakes no duty to monitor any specific communication, and our failure to detect or prevent any particular fraud, abuse, or violation does not constitute a waiver of any right or remedy under these Terms or applicable law.
While we strive to maintain high availability and reliability, we do not guarantee that the Services will be available 100% of the time. We may perform maintenance, updates, or experience outages that temporarily affect service availability. We are not liable for any losses resulting from service interruptions.
You are responsible for complying with all applicable laws and regulations, including:

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied.
To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:
To the maximum extent permitted by law, SimuWave and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
In no event shall our total liability to you for all claims exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
You agree to indemnify, defend, and hold harmless SimuWave and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another party.
Important: VoIP services may have limitations regarding emergency services.
While we support E911 functionality, you acknowledge that VoIP emergency calling may not function the same as traditional phone services. Emergency calls may fail during power outages, internet disruptions, or service issues. You are responsible for maintaining alternative means of accessing emergency services. We are not liable for any inability to complete emergency calls.
You may terminate your account at any time by contacting support. You remain responsible for all charges incurred prior to termination.
We may suspend or terminate your access to the Services immediately, without prior notice, for any reason, including violation of these Terms, non-payment, or illegal activity.
Upon termination, your right to use the Services ceases immediately. We may delete your account and content after 90 days. Sections of these Terms that by their nature should survive termination will survive.
Before filing a formal dispute, you agree to contact us and attempt to resolve the issue informally by sending a detailed description to legal@simuwave.com.
Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court, except that you may assert claims in small claims court if they qualify.
You agree that any arbitration or legal proceeding shall be limited to the dispute between you and SimuWave individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.
These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and SimuWave regarding the Services.
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
